Terms and Conditions

1. Scope
These Terms and Conditions govern all contracts between MorningPaper (the "Provider") and the customer regarding the use of the MorningPaper platform for automated creation and delivery of personalized hotel newspapers.
2. Services
The Provider offers a cloud-based Software-as-a-Service (SaaS) platform that enables automated creation of personalized hotel newspapers delivered as PDF files.
The specific scope of services depends on the selected pricing plan (Starter, Professional, or Enterprise), as described on the Provider's website.
3. Contract Formation
The contract is formed when the customer completes registration and selects a pricing plan. The Provider accepts the offer by activating the customer account.
For paid plans, a 14-day free trial period begins upon activation. After the trial period, the contract automatically converts to a paid subscription unless the customer cancels before the trial ends.
4. Usage Rights
The Provider grants the customer a non-exclusive, non-transferable right to use the platform for the duration of the contract in accordance with these Terms.
5. Pricing and Payment
Prices are listed on the website. All prices are exclusive of applicable taxes. Billing occurs monthly in advance. Payment is processed via credit card or other accepted payment methods through Stripe.
6. Free Trial Period
New customers receive a 14-day free trial. During the trial, customers can use the service without restrictions according to their selected plan. Unless canceled before the trial ends, the contract automatically converts to a paid subscription.
7. Term and Termination
The contract is concluded for an indefinite period. Either party may terminate the contract with 30 days' notice to the end of the month. Termination must be in text form (e.g., email) or through the customer account.
8. Availability and Maintenance
The Provider strives for 99% annual platform availability. The Provider may temporarily suspend service for maintenance and updates, preferably outside normal business hours.
9. Customer Obligations
Customers must:
- Use the platform only in accordance with applicable law and these Terms
- Not upload content that violates laws or third-party rights
- Keep access credentials secure and confidential
- Not take actions that could impair platform functionality
10. Data Protection
The Provider processes personal data in accordance with GDPR and applicable data protection laws. Details are provided in the Privacy Policy.
11. Liability
The Provider is fully liable for damages resulting from injury to life, body, or health based on intentional or negligent breach of duty. For other damages, liability is limited to typical, foreseeable damages in case of breach of essential contractual obligations.
12. Changes to Terms
The Provider may modify these Terms with 30 days' notice. Changes are communicated via email. If the customer does not object within 30 days, the new Terms are deemed accepted.
13. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
